Article 1 – Definitions
In these terms and conditions, the following definitions apply:
Boring Studios: the creative collective of independent makers, operating under the name Boring Studios, specialized in producing bold video commercials.
Client: any natural person or legal entity that enters into an agreement with Boring Studios.
Agreement: any contract or arrangement between Boring Studios and the Client relating to the provision of services and/or products.
Services: all creative and production-related work to be delivered by Boring Studios, including but not limited to concept development, filming, editing, and delivery of video productions.
Article 2 – Applicability
These terms and conditions apply to all quotations, agreements, and deliveries of Boring Studios, unless expressly agreed otherwise in writing.
Any general terms and conditions of the Client are expressly rejected.
Article 3 – Quotations & Agreements
All quotations are without obligation, unless a validity period is stated in the quotation.
An Agreement is concluded as soon as the Client has confirmed acceptance of the quotation in writing (including by e-mail).
Any changes to the Agreement are valid only if confirmed in writing by Boring Studios.
Article 4 – Performance of the Assignment
Boring Studios will carry out the assignment to the best of its knowledge and ability, but does not guarantee a specific result.
The Client must ensure that all necessary information and cooperation is provided in time.
Delays caused by the Client may result in additional costs.
Article 5 – Delivery & Revisions
Unless otherwise agreed, two revision rounds are included. Additional revisions will be charged separately.
Delivery takes place digitally, unless otherwise agreed.
After delivery, the Client is responsible for the correct use and publication of the delivered material.
Article 6 – Intellectual Property & Usage Rights
All intellectual property rights to works created by Boring Studios remain with Boring Studios, unless expressly agreed otherwise in writing.
The Client obtains a non-exclusive right of use for the agreed purpose (e.g., online ads, social media, television), after full payment of the invoice.
Reuse or modification of the work by the Client outside the agreed purpose is only permitted with written consent from Boring Studios.
Article 7 – Fees & Payment
All prices are exclusive of VAT, unless stated otherwise.
Boring Studios may require a 30% down payment of the project fee before starting production.
Payment must be made within 14 days of the invoice date, unless otherwise agreed.
If payment is overdue, the Client will be in default and statutory interest will be charged.
Article 8 – Cancellation & Changes
In case of cancellation by the Client up to 14 days before the start of production, the Client owes 30% of the project fee.
For cancellations within 14 days before the start of production, the Client owes 70% of the project fee.
If production has already started, the Client owes the full agreed amount.
Changes to the assignment may result in adjustments to planning and costs.
Article 9 – Liability
Boring Studios is not liable for indirect damages, consequential damages, or loss of profit.
Any liability is limited to the amount paid by the Client for the relevant assignment.
The Client indemnifies Boring Studios against any third-party claims related to the use of the delivered work.
Article 10 – Force Majeure
If Boring Studios is unable to perform the assignment due to force majeure (including illness, technical failures, weather conditions, or government measures), the parties will be informed as soon as possible.
In case of force majeure, the Client is not entitled to compensation for damages.
Article 11 – Confidentiality
Both Boring Studios and the Client are obliged to maintain confidentiality regarding all confidential information obtained during the collaboration.
Article 12 – Governing Law & Disputes
These general terms and conditions are governed by Dutch law.
Parties will first attempt to resolve disputes amicably. If this is not possible, disputes will be submitted to the competent court in the district where Boring Studios is based.
